These Self-Serve Advertisement Terms and Conditions (“Terms”) form a legally binding agreement between you ("Advertiser," "you," or "your") and GeoTarget, LLC, (“GeoTarget "Company," "we," "us," or "our") collectively referred to as the "Parties," governing your use of the self-serve advertisement platform ("Platform") provided by GeoTarget, LLC.
1. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please refrain from using the Platform.
2. Advertiser Account
2.1 To use the Platform, you must create an advertiser account . You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 You agree to provide accurate, current, and complete information during the account registration process and to update such information to keep it accurate, current, and complete.
3. Advertisement Content
3.1 You are solely responsible for the content of your advertisements, including but not limited to text, images, videos, links, and any other materials ("Advertisement Content").
3.2 Advertisement Content must comply with all applicable laws, regulations, and industry standards. This includes, but is not limited to, content that is not defamatory, fraudulent, offensive, or infringing upon intellectual property rights.
4. Advertisement Delivery Platforms
4.1 Advertiser shall have the option to select from a range of advertising delivery platforms (“Advertisement Delivery Platform”) to run their campaigns.
4.2 The specific Advertisement Delivery Platform available for selection may include, but are not limited to, social media platforms, search engines, Games, Apps, Advertiser’s websites and other online advertising networks. Company may also create an Advertisement Delivery Platform using Company domain pursuant to Advertisers requirements.
4.3 The Company reserves the right to modify the list of available Advertisement Delivery Platform for ad delivery without prior notice.
4.4 Advertiser understand that the availability of platforms may be influenced by factors beyond the Company's control, including changes made by third-party platform providers.
4.5 The Self-Serve Platform may integrate with a selected Advertisement Delivery Platform to deliver targeted advertisements to audience. By using our Self-Serve Platform, you acknowledge and agree that advertisements may be displayed based on your preferences, Parameters, and other relevant data.
4.6 By integrating, Advertiser authorize the Company to access and manage their campaigns on the selected Advertisement Delivery Platform for the purpose of campaign execution.
4.7 Company is responsible for reviewing and complying with the advertising policies, guidelines, and terms of use of the selected Advertisement Delivery Platform.
4.8 Advertiser is not liable for any consequences arising from the Company’s non-compliance with the policies of the selected Advertisement Delivery Platforms.
5. Advertisement Placement, Visibility and Scheduling
5.1 The Company will use reasonable efforts to display Advertisement Content submitted by advertisers in accordance with the preferences and parameters (“Parameters”) set by the advertisers on the self-serve advertising Platform. However, the Company does not guarantee specific placement or visibility of advertisements.
5.2 Advertisements' placement and visibility may vary based on factors including, but not limited to, available ad space, targeting criteria, bidding strategies, and competition from other advertisers.
5.3 Advertisers may have the option to specify the start and end dates of their advertising campaigns. The Company will make every effort to adhere to the selected scheduling, but the actual placement may be subject to availability and technical considerations.
6. Optimization, Consent and Control
6.1 Advertisers are encouraged to monitor their advertisements' performance and suggest adjustments based on available analytics. The Company may offer optimization services to Advertisers to enhance the performance of their advertising campaigns.
6.2 Optimization services may involve the Company's team reviewing and adjusting campaign settings; including but without limitation targeting criteria such as audience, demographics, location; bids; budgets, and other parameters with the aim of improving the effectiveness and results of Advertisers' advertisements.
6.3 By utilizing the optimization services, Advertisers consent to the Company's team making adjustments to their campaign settings, targeting, and other parameters based on industry best practices and data analysis.
6.4 Advertisers acknowledge that the Company's optimization services are provided as an optional assistance and are not mandatory.
6.5 The Company's optimization process may include analysis of performance data, assessment of campaign objectives, and adjustment of campaign parameters for improved results.
6.6 The Company's team will use reasonable efforts to optimize campaigns based on available data and industry insights.
7. Results and Guarantees
7.1 Advertisers acknowledge that optimization results may vary based on factors including but not limited to market conditions, user behavior, and campaign specifics.
7.2 The Company does not guarantee specific outcomes or performance improvements resulting from optimization services.
8. Collaboration
8.1 The Company's team may collaborate with Advertisers to gather information and insights that aid in the optimization process.
8.2 Advertisers are encouraged to provide feedback, insights, and campaign objectives to enhance the effectiveness of the optimization process.
9. Platform Analytics
9.1 Advertisers will have access to analytics and performance data related to their campaigns, including data reflecting the impact of optimization efforts.
9.2 Analytics may include impressions, clicks, click-through rates, engagement rates, and other relevant data.
10. Subscription
10.1 Subscription packages, including features, impressions, views, duration, and associated Fees, are outlined on the Platform (“Subscription Package”). You may choose a Subscription Package based on your advertising needs. Subscriptions are subject to availability and the terms of the selected package.
10.2 The duration of the subscription ("Subscription Period") is specified in the selected Subscription Package. Subscriptions will automatically renew for the same duration at the end of each Subscription Period unless you choose to cancel before the renewal date
11. Subscription Changes, Cancellations and Notice
11.1 You may upgrade or downgrade your Subscription Package, subject to availability and any applicable Fees or adjustments.
11.2 You may cancel subscription at any time by accessing your account settings and following the designated cancellation process. Upon cancellation, access to the Platform's features tools, and benefits associated with your Subscription Package will cease at the end of the current billing period.
11.3 The cancellation will become effective at the end of your current Subscription Period, and you will not be charged for any subsequent renewal periods.
11.4 Please ensure that you retrieve any necessary data or information from the Platform before your cancellation takes effect, as you will not be able to access it once the cancellation is finalized.
11.5 Unless otherwise stated in specific circumstances, subscription fees are non-refundable. This includes any partially used billing periods. You will continue to have access to the Platform's features and services until the end of the current billing cycle, even if the cancellation is initiated before that time.
11.6 You can disable the auto-renewal feature of your subscription at any time. Upon disabling auto-renewal, the subscription will not be automatically extended at the end of the current billing period.
12. Payment and Fees
12.1 Subscription fees may include one-time production fee and any other applicable taxes (“Fees”). You agree to pay the Fees as indicated on the Platform for the selected Subscription Package. Advertisements are subject to Fees indicated on the Platform. Payment is due in advance of the Subscription Period.
12.2 You agree to pay all Fees promptly and in accordance with the payment terms specified on the Platform.
12.3 All Fees are non-refundable unless otherwise specified in writing by us.
13. User Data Collection
Advertisers may have the ability to collect user data through their advertisements. Advertisers are responsible for ensuring that their data collection practices comply with applicable privacy laws and that users are provided with appropriate notice and choice.
14. Intellectual Property and License
You retain all intellectual property rights to the Advertisement Content submitted by you. By submitting Advertisement Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and promote the Advertisement Content solely for the purpose of providing the Platform services.
15. Indemnification
You agree to indemnify, defend, and hold us harmless from and against any claims, damages, liabilities, costs, and expenses arising out of or related to your use of the Platform, your Advertisement Content, or your violation of these Terms.
16. Limitation of Liability
To the extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.
17. Termination of Advertisements
We reserve the right to suspend, pause, terminate, or restrict your access to the Platform, in whole or in part, at our sole discretion, without prior notice, if you violate these Terms or engage in any unauthorized, fraudulent, or abusive activities. In such cases, no refund or compensation will be provided to the advertiser.
18. Modifications
18.1 Modification of Advertisements. Advertisers may have the option to modify or update their Advertisement Content during the course of a campaign. Changes must adhere to our content guidelines and may be subject to review.
18.2 Future Changes. The Company reserves the right to modify these Parameters, as well as any other aspect of the Platform, at its sole discretion. Changes will be communicated through the Platform or other means as deemed appropriate.
18.3 Modification of Terms. We reserve the right to update or modify these Terms at any time. Any modifications will be effective upon posting on the Platform. Your continued use of the Platform after any changes indicates your acceptance of the revised Terms.
19. Conflict Resolution
In the event of any disputes or discrepancies regarding advertisement placements, fees, or other Platform-related matters, the Company's decision will be final. Advertisers are encouraged to contact our support team to address any concerns.
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of State of North Carolina, without regard to its conflict of law principles.
21. Force Majeure
The Platform is not liable for any delays or failures in advertisement delivery due to circumstances beyond its reasonable control, including but not limited to technical issues, server outages, or acts of nature.
